Need software to make asf videos of sunplus mpeg4 format

I’m looking for a good software that let you convert any videos to asf of sunplus mpeg4 with audio compression and compatible to my pmp-1600

Video: The best quality (2-pass if possible)
Audio: Compressed audio (MP3 Audio codec)

Sunplus transcoding tool 0.9.2 can compress the audio but the video quality is terrible...and the older versions can’t compress the audio (uncompressed audio wave)

Is there any software that do all that stuff?

Note: My pmp-1600 can only play asf videos of mpeg4 sunplus format not only mpeg4 format
